Terms of Service
Three things worth knowing before the detail
- A licence is per person, not per computer — and each person may authorise a limited number of computers, normally two.
- The application asks you to sign in each time it opens, which needs an internet connection, and an account is signed in on one computer at a time. Sections 3 and 6 explain exactly what that means.
- You remain responsible for checking your own redactions. The software is a tool, not a guarantee. Section 10 is not boilerplate and is worth reading.
1. These terms
These terms govern use of the Safe Redact desktop application and the Safe Redact Admin Panel (together, the “Software”), supplied by [Registered company name] (“we”, “us”). They apply to the organisation that holds the licence (“you”) and to everyone to whom you give a seat.
Where you have signed a separate written agreement with us, that agreement takes precedence over these terms to the extent the two conflict.
2. Your licence
We grant you a non-exclusive, non-transferable, revocable licence to use the Software for your own business purposes, for as long as your subscription is active and fees are paid, subject to these terms.
You may not:
- Sub-license, resell, rent or otherwise make the Software available to anyone outside your organisation
- Reverse engineer, decompile or attempt to derive the source code, except where law expressly permits it
- Circumvent, disable or interfere with licence validation, seat limits or device limits
- Share one seat's credentials between several people
3. Seats and devices
A seat is held by one named person, identified by their work email address within your organisation. A seat may be reassigned when someone leaves, but it may not be shared between two people at once.
Each seat may authorise a limited number of computers — two by default, unless your licence says otherwise. Authorising a further computer requires releasing one first, which your own administrators can do without contacting us.
Where a licence is sold as unlimited-user, it covers people whose email addresses are on your organisation's verified domain. The per-person device limit still applies.
Signing in. The desktop application asks for a sign-in each time it is opened, and signs a person out after eight hours without activity. An account is signed in on one computer at a time: signing in on a second computer signs the first one out, and the first is told so. Signing in needs an internet connection. If our service cannot be reached, a sign-in made within the last day continues to be accepted; after that, the computer must be connected before the application can be used. Being signed out does not close or discard the work that is open.
4. Who manages your people
You do. Adding colleagues, removing them, granting and revoking their licences, changing their roles and releasing their computers are all yours to do, through the Admin Panel.
We set the initial owner of your organisation, because that is who we hold the licence with and who we send licensing correspondence to. Beyond that, we do not add users to your organisation, and we cannot reset your people's passwords. Where we assist with support, we act on your instruction and the action is recorded.
5. Fees, term and renewal
Fees, currency, billing period and the number of seats are as stated in your order or quotation. Unless agreed otherwise, subscriptions run for [term] and renew automatically for successive terms unless either party gives [notice period] written notice before the end of the current term.
We may change fees for a renewal term by giving you at least [notice period] notice before that term begins. Invoices are payable within [payment terms]. We may suspend the licence if an undisputed invoice remains unpaid after written reminder.
6. Suspension, revocation and what they can actually reach
We may suspend or terminate a licence for material breach of these terms, for non-payment after notice, or where required by law.
What a suspension or revocation reaches depends on whether the computer can be reached. We state that plainly rather than leaving you to discover it:
- Suspension stops new activations and new sign-ins immediately. No further computer can be authorised, and nobody can sign in.
- A computer that is connected is stopped within minutes. A running copy of the application checks its sign-in with our service, and is signed out when the licence behind it has been withdrawn.
- A computer that is not connected is stopped within a day, which is how long a sign-in is accepted while our service cannot be reached.
- A computer licensed with an air-gapped key before sign-in was introduced continues until the end of that key's issued term, because there is no way to reach a machine that is not connected to anything. We no longer license new computers this way.
When a licence expires or is revoked, the Software continues to allow finished work to be exported. Work already completed is not held hostage to a lapsed subscription.
7. Your data
The material you process in the desktop application never reaches us. It is opened, analysed and redacted on your own computers, and no part of it — nor anything derived from it — is transmitted to Safe Redact. You remain the controller of that material throughout, and we are not a processor of it.
For account and licensing information, which we do hold, see our Privacy Policy.
8. Acceptable use
You must use the Software lawfully, and must not use it to conceal evidence of a crime, to obstruct a lawful investigation or disclosure obligation, or in any way prohibited by law applying to you.
You are responsible for ensuring that your use of redaction complies with the disclosure, retention and records obligations that apply to your organisation. Those obligations are yours; we have no visibility of your material and cannot assess them.
9. Intellectual property
We and our licensors own the Software and everything in it. These terms grant you a licence to use it, not any ownership. You own your material and the output you produce; we claim no rights in either.
10. Verification of output — please read
The Software assists with redaction. It does not certify it. Automated detection can miss identifying information, and can misjudge what is sensitive in context.
You must verify redacted output before disclosing it. Do not treat the absence of a detection as evidence that nothing sensitive is present.
We give no warranty that the Software will identify every piece of personal or sensitive information, and it must not be used as the sole control over a disclosure that would cause harm if it were wrong.
11. Warranties and disclaimers
We warrant that we will provide the Software with reasonable care and skill, and that it will perform materially as described in our documentation.
Otherwise, and to the extent the law allows, the Software is provided “as is”. We do not warrant that it will be uninterrupted or error free, or that it will meet requirements we have not agreed with you in writing.
12. Limitation of liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
Subject to that, neither party is liable for indirect or consequential loss, and our total liability arising out of these terms in any twelve-month period is limited to the fees you paid us in that period.
[This clause is commercially significant and its wording should be settled with legal advice, particularly for public-sector customers whose procurement rules may require different terms.]
13. Confidentiality
Each party will keep the other's confidential information confidential, use it only for the purposes of these terms, and protect it with at least reasonable care. This does not apply to information that is public through no breach, independently developed, or required to be disclosed by law.
14. Support
Support is provided as described in [support policy or SLA reference]. Contact admin@saferedact.io.
15. Changes to these terms
We may update these terms. Where a change materially affects you, we will give account holders at least [notice period] notice by email, and the change will take effect at your next renewal rather than mid-term.
16. Governing law
These terms are governed by the laws of [Jurisdiction], and the courts of [Jurisdiction] have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court.
